These Terms & Conditions (“Terms”) govern your access to and use of secralabs.com (the “Website”) and your purchase of products from Secra Labs LLC (“Secra Labs,” “Company,” “we,” “us,” or “our”).

By accessing the Website, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Shipping Policy, and Refund & Returns Policy. If you do not agree to these Terms, do not use the Website or place an order.

1. Eligibility and Age Requirement

You must be at least twenty-one (21) years of age to access this Website, create an account, or purchase products from Secra Labs.

By using this Website or placing an order, you represent and warrant that:

  1. You are at least 21 years of age;
  2. You are legally capable of entering into a binding agreement;
  3. All information you provide to Secra Labs is accurate, current, and complete;

Secra Labs reserves the right to refuse service, cancel orders, suspend accounts, or request additional verification if we believe a customer does not meet these eligibility requirements.

2. Account Registration

Customers are required to create an account before completing checkout. Browsing the Website may be available without an account, but purchasing products requires account registration and required compliance confirmations.

During registration, you may be required to select a business type or industry category, including but not limited to:

By creating an account, you agree to:

  1. Provide accurate, current, and complete registration information;

  3. Accept responsibility for all activity that occurs under your account;
  4. Notify Secra Labs immediately of any unauthorized access or suspected account misuse.

Secra Labs may suspend, restrict, or terminate any account at our discretion, including for suspected fraud, misuse, false information, chargeback abuse, regulatory risk, or violation of these Terms.

3. Research Use Only Products

All products sold by Secra Labs are intended strictly for in-vitro laboratory research, analytical, or development purposes only.

Products sold by Secra Labs are:

  1. Not for human consumption;
  2. Not for animal consumption;
  3. Not dietary supplements;
  4. Not drugs;
  5. Not medicines;
  6. Not food additives;
  7. Not cosmetics;
  8. Not medical devices;
  9. Not intended for diagnostic, therapeutic, clinical, or veterinary use;
  10. Not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

Any use inconsistent with these stated research-use-only purposes is strictly prohibited.

4. No Medical, Health, or Usage Advice

Secra Labs does not provide medical, health, dosing, therapeutic, veterinary, cosmetic, or clinical advice.

Any product descriptions, certificates of analysis, testing information, references, articles, educational materials, or other content on the Website are provided solely for informational and identification purposes related to laboratory research materials.

No statement on the Website should be interpreted as:

5. Chemical Supplier Status

Secra Labs operates strictly as a supplier of research-use-only laboratory materials.

Secra Labs is not:

  2. A compounding pharmacy;
  3. A chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act;
  4. An outsourcing facility as defined under Section 503B of the Federal Food, Drug, and Cosmetic Act;
  5. A medical provider;
  6. A healthcare provider;
  7. A supplement company.

Products are sold only for lawful research, analytical, or development purposes.

6. Purchaser Responsibilities

By purchasing from Secra Labs, you acknowledge and agree that you are solely responsible for:

  1. Determining whether the products are suitable for your intended lawful research purpose;
  2. Ensuring that you have the knowledge, equipment, facilities, and procedures necessary to safely handle, store, transport, and dispose of the products;
  3. Reviewing all available product information, labels, lot information, certificates of analysis, and applicable safety information;
  4. Complying with all applicable federal, state, and local laws and regulations;
  5. Complying with any applicable institutional, laboratory, biosafety, chemical hygiene, or research protocols;
  6. Obtaining any licenses, permits, approvals, or authorizations required for your possession, handling, storage, or use of products;
  7. Ensuring that no product is used for any prohibited purpose.

You assume all risks associated with the purchase, handling, storage, possession, and use of products purchased from Secra Labs.

7. Prohibited Uses

You agree not to use, purchase, possess, transfer, market, or distribute any Secra Labs product for any prohibited purpose.

Prohibited uses include, but are not limited to:

  1. Human consumption;
  2. Animal consumption;
  3. Medical, therapeutic, diagnostic, clinical, or veterinary use;
  4. Cosmetic use;
  5. Use in food, beverages, dietary supplements, drugs, cosmetics, medical devices, or compounded preparations;
  6. Resale or redistribution for any non-research purpose;
  7. Misrepresenting your identity, qualifications, affiliation, or intended use;
  8. Providing false or misleading information to Secra Labs;
  9. Using the Website or products in violation of applicable law;
  10. Encouraging, instructing, or assisting any other person in using products for a prohibited purpose.

Any communication, conduct, or order activity suggesting prohibited use may result in order cancellation, account termination, refusal of future service, and other actions Secra Labs deems appropriate.

8. Product Information, Testing, and Lot Variation

Secra Labs may provide product descriptions, specifications, certificates of analysis, lot information, or other product-related information for informational purposes.

While we aim to provide accurate information, product information may be updated or corrected at any time. Certificates of analysis apply only to the specific lot tested, and minor lot-to-lot variation may occur within normal analytical tolerances.

You are responsible for determining whether a product is suitable for your intended lawful research application.

9. Order Acceptance and Right of Refusal

Submitting an order does not guarantee acceptance of that order. All orders are offers to purchase and are subject to acceptance by Secra Labs.

Secra Labs reserves the right, at our sole discretion, to:

  1. Refuse any order;
  2. Cancel any order;
  3. Limit quantities;
  4. Delay shipment for review or verification;
  5. Request additional information or identification;
  6. Decline sales to unqualified customers;
  7. Refuse service to any customer;
  8. Cancel orders flagged by fraud, risk, or compliance monitoring systems.

An order confirmation, payment authorization, or receipt does not constitute final acceptance of an order. An order is accepted only when it has been approved and fulfilled by Secra Labs.

We may refuse or cancel orders for reasons including, but not limited to:

  1. Suspected misuse;
  2. Suspected human or animal use;
  3. Suspected resale for non-research purposes;
  4. Fraud risk;
  5. Chargeback risk;
  6. Underage purchase;
  7. Restricted or unlawful jurisdiction;
  8. Inaccurate customer information;
  9. Suspicious communications or conduct;
  10. Violation of these Terms or any Secra Labs policy.

10. Pricing, Availability, and Errors

All prices are listed in U.S. dollars unless otherwise stated.

Secra Labs reserves the right to:

  1. Change prices at any time;
  2. Modify or discontinue products at any time;
  3. Limit product quantities;
  4. Correct pricing, inventory, or product description errors;
  5. Cancel orders placed for incorrectly listed products.

If an order is canceled due to a pricing, availability, or listing error after payment has been received, Secra Labs will issue an appropriate refund for the canceled item or order.

11. Payments, Billing, and Taxes

Secra Labs may accept payment methods including card payments, ACH/eCheck, cryptocurrency, Venmo, or other methods made available at checkout.

By submitting payment information, you represent and warrant that:

  1. You are authorized to use the selected payment method;
  2. The billing information provided is accurate;
  3. You authorize Secra Labs or its payment service providers to process the transaction;
  4. You are responsible for any applicable taxes, duties, fees, or charges associated with your order.

Our store will automatically charge and withhold the applicable sales tax for orders to be delivered to addresses within the same state/province where Secra Labs holds a presence.

Payment methods may be added, removed, restricted, or modified at any time.

Secra Labs does not store full payment card numbers where payments are processed by third-party payment providers.

12. Fraud Prevention and Verification

All transactions are subject to fraud, risk, and compliance review.

Secra Labs may request additional information before processing or shipping an order, including identity verification, account verification, research-use confirmation, billing verification, business or institutional information, or other documentation reasonably necessary to evaluate the order.

Failure to provide requested verification may result in order cancellation, account suspension, or refusal of future service.

13. Chargebacks and Payment Disputes

If you have a concern about an order, you agree to contact Secra Labs directly at [email protected] before initiating a chargeback, payment dispute, bank reversal, or similar claim.

Secra Labs is committed to reviewing legitimate concerns in good faith according to our Refund & Returns Policy.

Improper, fraudulent, abusive, or bad-faith chargebacks may result in:

  1. Account suspension or termination;
  2. Refusal of future orders;
  3. Submission of relevant evidence to payment processors, banks, or financial institutions;
  4. Recovery efforts where permitted by law;
  5. Other remedies available to Secra Labs.

If a chargeback or payment dispute is filed, you authorize Secra Labs to provide relevant order records, tracking information, delivery confirmation, customer communications, product documentation, account records, and policy records to payment processors, banks, financial institutions, fraud-prevention services, or other parties involved in resolving the dispute.

14. Shipping and Delivery

Secra Labs currently ships within the United States only.

Shipping options, rates, and delivery estimates may be displayed at checkout. Delivery estimates are provided for convenience only and are not guarantees.

Secra Labs is not responsible for delays caused by shipping carriers, weather, holidays, incorrect addresses, carrier disruptions, governmental actions, supply chain interruptions, or other circumstances outside our reasonable control.

Risk of loss transfers to the customer when the order is handed to the shipping carrier.

You are responsible for providing a complete and accurate shipping address at checkout. Secra Labs is not responsible for delays, losses, returns, or misdeliveries caused by incorrect, incomplete, or undeliverable addresses provided by the customer.

15. Returns, Refunds, and Quality Guarantee

Returns, refunds, replacements, cancellations, damaged-item claims, lost-package claims, and quality-related claims are governed by our separate Refund & Returns Policy, which is incorporated into these Terms by reference.

Due to the sensitive nature of research-use-only laboratory materials, Secra Labs does not accept general returns once an order has shipped.

Secra Labs provides a limited 30-Day Quality Guarantee only for eligible, verified issues as described in the Refund & Returns Policy. This guarantee is not a general return window and does not apply to buyer’s remorse, incorrect product selection, improper storage, opened or altered products, or any use outside stated research-use-only purposes.

16. Website Use Restrictions

You agree not to misuse the Website or interfere with its normal operation.

Prohibited Website conduct includes, but is not limited to:

  1. Using the Website for unlawful purposes;
  2. Attempting unauthorized access to accounts, systems, or data;
  3. Uploading or transmitting malware, viruses, or harmful code;
  4. Scraping, harvesting, crawling, copying, or extracting Website data without written permission;
  5. Using bots, automated tools, or scripts to access the Website;
  6. Circumventing security, age verification, checkout, account, or compliance controls;
  7. Impersonating another person or entity;

Use of the Website does not grant you any ownership interest or license in Secra Labs intellectual property except for the limited right to access and use the Website for lawful purposes consistent with these Terms.

Secra Labs may use third-party service providers to operate the Website, process payments, fulfill orders, provide shipping, prevent fraud, communicate with customers, and support other business functions.

Those third-party services may be subject to their own terms, policies, and privacy practices. Secra Labs is not responsible for third-party service interruptions, errors, delays, or actions outside our reasonable control.

19. Marketing Communications

By creating an account, placing an order, or contacting Secra Labs, you may receive transactional communications related to your account, orders, payments, shipping, customer support, or policy updates.

If you opt in to marketing emails, you may receive promotional or informational emails from Secra Labs. You may unsubscribe from marketing emails at any time. Consent to marketing emails is not required to make a purchase.

20. Disclaimer of Warranties

To the maximum extent permitted by law, the Website, Website content, and all products are provided on an “as is” and “as available” basis.

Except as expressly stated in our Refund & Returns Policy or required by applicable law, Secra Labs disclaims all warranties, express or implied, including but not limited to:

  1. Implied warranties of merchantability;
  2. Fitness for a particular purpose;
  3. Non-infringement;
  4. Accuracy or completeness of Website content;
  5. Suitability of any product for any particular research application;
  6. Uninterrupted or error-free Website operation.

Secra Labs does not warrant that any product will meet your specific research objectives, produce any particular research result, or be suitable for any particular research application.

You assume full responsibility for determining product suitability and for all risks associated with handling, storage, possession, and use.

21. Limitation of Liability

To the maximum extent permitted by law, Secra Labs LLC and its owners, officers, employees, contractors, agents, affiliates, suppliers, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, loss of goodwill, or damages arising from misuse, improper handling, unlawful use, or unauthorized use of any product.

To the maximum extent permitted by law, Secra Labs’ total liability for any claim arising out of or related to a product, order, Website use, or these Terms shall not exceed the amount paid by you for the specific product or order giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. In such cases, liability will be limited to the maximum extent permitted by law.

22. Indemnification

You agree to defend, indemnify, and hold harmless Secra Labs LLC and its owners, officers, employees, contractors, agents, affiliates, suppliers, and service providers from and against any claims, demands, damages, losses, liabilities, judgments, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  1. Your breach of these Terms;
  2. Your violation of any law or regulation;
  3. Your misuse, handling, storage, possession, transfer, resale, or use of any product;
  4. Any human or animal consumption of products purchased from Secra Labs;
  5. Your use of products outside stated research-use-only purposes;
  6. Your false, inaccurate, or misleading information;
  7. Your violation of any third-party rights;
  8. Your improper chargeback, payment dispute, or fraudulent transaction activity.

This obligation survives termination of your account, completion of any order, and your discontinuation of Website use.

23. Compliance, Resale, and Transfer Restrictions

Products purchased from Secra Labs are sold only for the purchaser’s lawful internal research, analytical, or development purposes.

You may not resell, redistribute, relabel, repackage, transfer, market, or otherwise provide products to any third party for human use, animal use, therapeutic use, diagnostic use, cosmetic use, supplement use, drug use, or any other prohibited purpose.

You are solely responsible for ensuring that any possession, transfer, storage, transport, disposal, export, or use of products complies with applicable law.

Secra Labs reserves the right to refuse sales to any customer suspected of improper resale, redistribution, diversion, or unlawful transfer.

24. Regulatory and Safety Compliance

You acknowledge that products sold by Secra Labs may be subject to laws, regulations, restrictions, or institutional requirements depending on the product, jurisdiction, intended research activity, or purchaser status.

You are solely responsible for determining and complying with all applicable requirements, including but not limited to:

  1. Federal, state, and local laws;
  2. Laboratory safety requirements;
  3. Chemical hygiene requirements;
  4. Institutional policies;
  5. Import, export, transport, and disposal rules;
  6. Any applicable research, biosafety, or environmental requirements.

Secra Labs makes no representation that any product is lawful for purchase, possession, use, import, export, or transfer in every jurisdiction or for every research purpose.

25. Termination

Secra Labs may suspend or terminate your account, cancel orders, restrict Website access, or refuse future service at any time if we believe you have violated these Terms, provided false information, engaged in suspicious or unlawful conduct, created payment risk, or acted in a way inconsistent with the lawful operation of our business.

Termination does not limit any rights or remedies available to Secra Labs under these Terms, applicable law, or any other policy.

26. Force Majeure

Secra Labs shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, severe weather, carrier delays, supply chain interruptions, labor disputes, governmental actions, pandemics, power outages, internet failures, payment processor disruptions, or other circumstances outside our control.

27. Governing Law

These Terms and any dispute arising out of or relating to these Terms, the Website, or any purchase from Secra Labs shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

28. Dispute Resolution and Binding Arbitration

Before initiating any formal dispute, you agree to first contact Secra Labs at [email protected] and attempt to resolve the issue informally. The parties agree to make a good-faith effort to resolve any dispute for at least thirty (30) days after written notice is provided.

If the dispute cannot be resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any purchase from Secra Labs shall be resolved through final and binding arbitration, except where prohibited by law.

Arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. The arbitration shall take place in Pennsylvania unless the parties mutually agree otherwise.

Each party shall bear its own attorneys’ fees and costs unless otherwise required by law or awarded by the arbitrator.

Nothing in this section prevents either party from bringing an individual action in small claims court where permitted by law or from seeking injunctive relief to protect intellectual property rights, confidential information, or Website security.

29. Class Action and Jury Trial Waiver

To the maximum extent permitted by law, you and Secra Labs agree that any dispute resolution proceeding will be conducted only on an individual basis.

You waive any right to participate in a class action, class arbitration, consolidated action, private attorney general action, or representative proceeding against Secra Labs.

To the maximum extent permitted by law, you and Secra Labs also waive any right to a jury trial in any proceeding arising out of or relating to these Terms, the Website, or any purchase.

30. Time Limitation on Claims

To the maximum extent permitted by law, any claim or cause of action arising out of or related to these Terms, the Website, or any purchase from Secra Labs must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.

31. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

The invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the original intent as closely as possible.

32. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Secra Labs.

Secra Labs may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, restructuring, change of control, or business transfer.

33. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Refund & Returns Policy, and any other policies referenced on the Website, constitute the entire agreement between you and Secra Labs regarding your use of the Website and purchase of products.

These Terms supersede any prior or contemporaneous agreements, communications, representations, or understandings regarding the same subject matter.
